TERMS OF USE / USER AGREEMENT

Motion Enterverse LLP (“Enterverse”, “we”, “us”, or “our”) is a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008, having its registered office at FL-3, 8/12A, LP-55/12/2/2, 1st-Floor, Bijoygarh, Kolkata, West Bengal, India, 700032 (LLPIN: ACX-3755), operating an over-the-top (“OTT”) streaming platform, including its website, mobile applications, and connected-TV applications (together, the “Platform” or the “Service”).
These Terms of Use, together with our Privacy Policy and any subscription, promotional, or content-specific terms referenced herein (collectively, the “Terms”), constitute a legally binding agreement between you (“you”, “your”, or “User”) and Enterverse governing your access to and use of the Platform.
BY ACCESSING, REGISTERING ON, OR USING THE PLATFORM IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. If you do not agree to these Terms, you must not access or use the Platform.
These Terms are published in accordance with, and are governed by, the provisions of the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and other applicable laws of India relating to electronic records and agreements executed through electronic means. No physical or digital signature is required for these Terms to be valid and enforceable.
1. DEFINITIONS
In these Terms, unless the context otherwise requires:
- “Account” means the registered user profile created by you to access the Platform.
- “Content” means all audio, video, films, web series, documentaries, music, artwork, thumbnails, text, metadata, and other material made available on the Platform, whether owned by Enterverse or licensed from third parties.
- “Subscriber” means a User who has purchased a paid subscription plan to access premium Content.
- “Device” means any smartphone, tablet, computer, smart TV, streaming device, or other connected device used to access the Platform.
- “Personal Data” has the meaning given to it in our Privacy Policy.
- Capitalised terms not otherwise defined herein shall have the meaning ascribed to them in our Privacy Policy
2. ELIGIBILITY
- The Platform is intended for use by individuals who have attained eighteen (18) years of age. By using the Platform, you represent and warrant that you are at least 18 years old and competent to enter into a binding contract under the Indian Contract Act, 1872.
- Individuals below eighteen (18) years of age (“Children”) may access the Platform only under the active supervision of, and with verifiable consent from, a parent or legal guardian, who shall be responsible for their use of the Platform in accordance with our Privacy Policy.
- You represent that all information you provide to us during registration and thereafter is true, accurate, current, and complete, and you agree to promptly update such information to keep it accurate.
- We reserve the right to refuse registration, suspend, or terminate any Account where we reasonably believe the eligibility criteria in this Section have not been met.
3. ACCOUNT REGISTRATION AND SECURITY
- To access certain features of the Platform, you must create an Account using a valid mobile number or email address, or by signing in through a supported third-party identity provider.
- You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account, whether or not authorised by you.
- You agree to notify us immediately at the contact details in Section 22 of any unauthorised use of your Account or any other breach of security.
- Enterverse shall not be liable for any loss or damage arising from your failure to comply with the security obligations in this Section.
- You may create multiple profiles under a single Account, subject to the limits specified in your subscription plan. Account holders are responsible for informing other profile users of these Terms and our Privacy Policy before granting them access.
4. SUBSCRIPTION PLANS, BILLING, AND AUTO-RENEWAL
- The Platform may offer free, advertisement-supported, and paid subscription plans, the features and pricing of which will be displayed on the Platform at the time of purchase and are subject to change with prior notice.
- Where a free trial is offered, it will automatically convert into a paid subscription upon expiry unless you cancel before the trial period ends, in accordance with the terms displayed at the time of sign-up.
- Paid subscriptions may auto-renew at the end of each billing cycle unless cancelled by you prior to the renewal date. You may cancel auto-renewal at any time through your Account settings; cancellation will take effect from the next billing cycle, and you will continue to have access to paid Content for the remainder of the period already paid for.
- All payments are processed exclusively through RBI-licensed and certified third-party payment aggregators. Enterverse does not directly collect or store your complete card, net-banking, or UPI credentials, as further described in our Privacy Policy.
- Refunds, where applicable, shall be governed by our refund policy displayed on the Platform at the time of purchase, and applicable consumer protection law. Except as required by law or expressly stated in such policy, subscription fees are non-refundable.
- You are responsible for all applicable taxes associated with your subscription. Prices displayed may or may not be inclusive of applicable taxes, as indicated at checkout.
5. LICENSE TO USE THE PLATFORM
- Subject to your compliance with these Terms, Enterverse grants you a limited, non-exclusive, non-transferable, revocable licence to access and stream the Content on the Platform solely for your personal, non-commercial, home entertainment use.
- This licence does not permit you to download (except where an official offline-viewing feature is provided and subject to its specific terms), copy, reproduce, distribute, publicly perform, publicly display, sell, rent, lease, sublicense, broadcast, or otherwise exploit any Content, in whole or in part.
- You shall not circumvent, disable, or otherwise interfere with any digital rights management (DRM), content-protection, or security-related features of the Platform.
- Simultaneous streaming and the number of registered Devices per Account are subject to the limits of your specific subscription plan. We reserve the right to take reasonable technical and account-level measures to enforce these limits, including suspending access that we reasonably believe constitutes account-sharing beyond permitted limits.
6. INTELLECTUAL PROPERTY RIGHTS
- All Content, and all trademarks, logos, service marks, trade names, graphics, user interface, software, and other intellectual property displayed on or forming part of the Platform, are owned by Enterverse or its licensors and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India and international treaties.
- Nothing in these Terms shall be construed as granting you any right, title, or interest in or to the Platform or any Content, other than the limited licence expressly set out in Section 5.
- You shall not use Enterverse's name, logo, or trademarks in any manner without our prior written consent, except as necessary to identify the Platform in a factual, non-misleading manner.
- If you believe any Content available on the Platform infringes your intellectual property rights, please submit a written notice to our Grievance Officer with sufficient detail to allow us to identify and investigate the alleged infringement.
7. USER CONDUCT
While using the Platform, you agree that you shall not:
- upload, post, transmit, or share any content that is unlawful, obscene, defamatory, infringing, harmful to minors, or otherwise objectionable under applicable Indian law, including the IT Rules, 2021;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- access or attempt to access the Platform through any automated means (bots, scrapers, crawlers) without our prior written permission;
- reverse engineer, decompile, or disassemble any part of the Platform's software, except to the extent such restriction is prohibited by applicable law;
- introduce any virus, malware, or other harmful code, or engage in any activity that disrupts or interferes with the Platform's functioning;
- share your Account credentials with, or permit access to your Account by, any person in a manner inconsistent with your subscription plan;
- use the Platform for any commercial purpose without our prior written consent; or
- violate any applicable local, state, national, or international law in connection with your use of the Platform.
We reserve the right, but are under no obligation, to monitor, review, remove, or restrict access to any content or Account that we reasonably believe violates this Section or applicable law, and to report such conduct to the appropriate authorities.
8. USER-GENERATED CONTENT
- Where the Platform permits you to submit ratings, reviews, comments, or other content (“User Content”), you retain ownership of such User Content, but grant Enterverse a worldwide, royalty-free, non-exclusive, sub-licensable licence to use, reproduce, display, and distribute such User Content in connection with operating and promoting the Platform.
- You represent and warrant that your User Content does not infringe any third-party rights and complies with the conduct standards in Section 7.
- User Content is publicly visible to other Users and is not governed by our Privacy Policy to the extent you choose to make it public.
- We reserve the right to remove any User Content at our discretion, including where required under the IT Rules, 2021, without prior notice.
9. THIRD-PARTY SERVICES AND LINKS
- The Platform may contain links to, or integrate with, third-party websites, applications, payment aggregators, advertising networks, and identity providers. Such third parties are governed by their own terms and privacy policies, and Enterverse bears no responsibility or liability for their content, practices, or services.
- Your interactions with any third-party service accessed through the Platform are solely between you and that third party, and you are encouraged to review their applicable terms before use.
10. CONTENT AVAILABILITY AND MODIFICATION
- The availability of specific Content is subject to change and may vary based on your location, licensing arrangements, subscription plan, and other commercial or legal considerations. Enterverse does not guarantee that any specific Content will remain available on the Platform for any particular duration.
- We reserve the right to add, modify, suspend, or discontinue any feature, functionality, or Content on the Platform, in whole or in part, at any time, with or without notice, without incurring any liability to you.
- Content may only be accessed within the territory permitted under our applicable content licences. Attempting to circumvent territorial restrictions (including through VPNs or similar tools) is a violation of these Terms.
11. PRIVACY
Your use of the Platform is also governed by our Privacy Policy at ( Paste Link), which describes how we collect, use, share, and protect your Personal Data in accordance with the Digital Personal Data Protection Act, 2023 and other applicable law. Our Privacy Policy is incorporated by reference into these Terms.
12. DISCLAIMER OF WARRANTIES
THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE, OR SECURE ACCESS, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE INDIAN LAW.
Enterverse does not warrant that the Platform will be compatible with all Devices, or that streaming quality will be uninterrupted, and shall not be liable for any disruption caused by your Device, internet connectivity, or third-party service providers.
13. LIMITATION OF LIABILITY
- To the maximum extent permitted under applicable law, Enterverse, its partners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or in connection with your use of, or inability to use, the Platform.
- Enterverse's aggregate liability arising out of or relating to these Terms, whether in contract, tort, or otherwise, shall not exceed the amount paid by you to Enterverse for the Service in the two (2) months immediately preceding the event giving rise to the claim.
- Nothing in these Terms shall limit or exclude Enterverse's liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited under applicable Indian law.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Enterverse, its partners, officers, employees, affiliates, agents, successors, and assigns from and against any losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your violation of these Terms or any applicable law;
- your User Content or any content you upload, post, or transmit through the Platform;
- your misuse of the Platform, including unauthorised account-sharing or circumvention of territorial or DRM restrictions; or
- your violation of any third-party right, including intellectual property or privacy rights.
15. TERMINATION AND SUSPENSION
- You may terminate your Account at any time by following the account-closure process available on the Platform, subject to any subscription commitments already in effect.
- We may suspend or terminate your Account or access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or where required to comply with applicable law or a valid legal order.
- Upon termination, your right to access the Platform will immediately cease. Sections which by their nature are intended to survive termination (including Sections 6, 12, 13, 14, 17, and 18) shall continue to apply.
16. FORCE MAJEURE
Enterverse shall not be liable for any failure or delay in performance under these Terms arising from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labour disputes, internet or telecommunications failures, government action, or failures of third-party licensors, content delivery networks, or payment aggregators.
17. GRIEVANCE REDRESSAL
In accordance with the Information Technology Act, 2000 and the IT Rules, 2021, any complaints, concerns, or grievances regarding the Platform or these Terms may be addressed to our Grievance Officer, whose details are set out in Section 22. We will acknowledge and seek to resolve grievances within the timelines prescribed under applicable law.
18. GOVERNING LAW AND JURISDICTION
These Terms, and any dispute arising out of or in connection with them, shall be governed by and construed in accordance with the laws of India. Subject to Section 19, the courts at Kolkata, West Bengal shall have exclusive jurisdiction over any such dispute.
19. DISPUTE RESOLUTION
- In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiation, including recourse to our Grievance Officer.
- Where such dispute cannot be amicably resolved within thirty (30) days, either party may institute proceedings before the courts at Kolkata, West Bengal, which shall have exclusive jurisdiction in accordance with Section 18.
- Any claim must be brought in an individual capacity and not as part of a class, collective, or representative proceeding, unless both you and Enterverse agree otherwise in writing.
20. SEVERABILITY AND WAIVER
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, the remaining provisions shall continue in full force and effect. No failure or delay by Enterverse in exercising any right under these Terms shall operate as a waiver of that right.
21. MISCELLANEOUS
- Entire Agreement: These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Enterverse regarding your use of the Platform, superseding all prior agreements and understandings.
- Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. Enterverse may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets, subject to Section 6 of our Privacy Policy.
- Relationship of Parties: Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Enterverse.
- Amendments: We may modify these Terms from time to time to reflect changes in our practices, the Platform, or applicable law, as further described in Section 23.

The Grievance Officer is based in India and is reachable during Indian Standard Time (IST) business hours.
23. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes in our practices, the Platform, applicable law, or regulatory guidance. Any material updates will be notified to you by such means as are consistent with applicable law, including by posting a notice on the Platform or via email.
Your continued use of the Platform after any such updates take effect will constitute your acknowledgement and, where applicable, acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Platform.
We maintain an archive of previous versions of these Terms, available upon written request to our Grievance Officer.
